Terms of Service – LOYA Cash Register System

1. Acceptance of Terms

By accessing or using the LOYA Cash Register System ("LOYA," "the Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree, you must refrain from using the Service. These Terms apply to all merchants, businesses, and users ("you" or "your") who utilize LOYA for payment processing, inventory management, or related services.

2. Service Description

LOYA is a centralized cash register and payment management system designed for businesses to process transactions, track sales, and manage financial operations. The Service includes hardware (where applicable), software, and support, all operated under the authorization of the National Commission for the Control of Personal Data Protection (CNDP) and in compliance with Moroccan laws.

3. Registration and Account Obligations

To use LOYA, you must register an account and provide accurate, up-to-date business information, including legal entity details, tax identification, and bank account information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify us immediately of any unauthorized use or security breaches.

4. Fees and Payment Terms

Use of LOYA may be subject to fees, including transaction charges, subscription costs, or hardware rentals, as specified in your service agreement. All fees are exclusive of taxes, and you agree to pay any applicable VAT or other levies. Failure to pay may result in suspension or termination of the Service.

5. Prohibited Activities

You agree not to:

• - Use LOYA for unlawful, fraudulent, or high-risk transactions.
• - Circumvent security measures or interfere with the Service’s functionality.
• - Process transactions unrelated to your declared business activities.
• - Resell, lease, or sublicense LOYA without prior written consent.

Violations may result in immediate termination and legal action.

6. Intellectual Property

All software, trademarks, and content associated with LOYA are the property of Unified Payments or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your business operations. Reverse engineering, copying, or modifying LOYA is strictly prohibited.

7. Liability and Disclaimers

LOYA is provided "as is" without warranties of merchantability or fitness for a particular purpose. We are not liable for:

• - Indirect, incidental, or consequential damages.
• - Losses due to system outages, third-party failures, or force majeure events.
• - Errors caused by misuse or unauthorized modifications.

Our total liability is capped at the fees paid to us in the preceding six (6) months.

8. Termination

Either party may terminate the Service with written notice. Upon termination, you must cease all use of LOYA and return any leased hardware. Sections pertaining to liability, intellectual property, and disputes survive termination.

9. Governing Law and Disputes

These Terms are governed by Moroccan law. Any disputes shall be resolved amicably or through the competent courts of [Moroccan City], with CNDP mediation where applicable.

10. Modifications

We reserve the right to update these Terms periodically. Continued use after changes constitutes acceptance. Material modifications will be communicated via email or in-app notifications.
